End User License Agreement

In plain language: you buy a perpetual right to use the purchased Major Version on the number of permanent seats included in your license. A new device activation permanently consumes a seat. The App uses device binding to deter casual sharing, then works offline without periodic online checks or remote revocation. Updates are included only if and when released.

1. Agreement and acceptance

This EULA is between Denys Nalbat, trading as Kelavon, and the person or organisation installing or using the Software. Installation, activation, or use constitutes acceptance, subject to mandatory law.

2. Software and documentation

The Software includes Kelavon Task Manager, related executable files, Documentation, and any Maintenance Updates Kelavon elects to release for the licensed Major Version. It excludes future Major Versions unless expressly included.

3. License grant

Subject to payment, activation, and compliance, Kelavon grants a limited, non-exclusive, non-sublicensable, revocable-for-breach, perpetual license to install and use the purchased Major Version for the Customer's internal business purposes on up to the purchased capacity.

4. Perpetual scope

Perpetual means the licensed Major Version may be used without a recurring subscription fee or fixed expiry date. It does not guarantee compatibility forever, support forever, or rights to future Major Versions.

5. Authorised users

A business Customer may permit its personnel and contractors to use licensed installations for the Customer's internal operations. The Customer remains responsible for their compliance and must not exceed purchased installation capacity.

6. Activation

Each new device requires an online activation. The request may include the license key, purchase email, App version, random installation ID, and normalized board, disk, and CPU identifiers. The server uses raw hardware values in memory to compare immutable per-anchor salted hashes and does not intentionally persist or log the raw values. Customer Data is not transmitted. 7. Offline operation

After successful activation, the App works offline and performs device verification locally at launch. It does not periodically revalidate the license online or transmit normal usage telemetry. Kelavon has no technical channel to push a later revocation to an activated installation.

8. Permanent seat capacity

Each successful activation of a genuinely new device permanently consumes one purchased seat. A qualifying re-activation of the same immutable hardware or installation-ID anchor does not consume another seat. An activation beyond available capacity may be refused.

9. No seat release or automatic transfer

The Customer may use /license-help to recover and view license information, but cannot release, reset, or transfer permanent seats through self-service. Replacing a whole machine or changing multiple relevant components may require another seat. Additional capacity may be purchased; exceptional manual adjustments are not promised.

10. No remote revocation

Kelavon cannot remotely disable, erase, lock, or uninstall an activated offline installation. A refund, termination, or block on future activations does not technically revoke an existing entitlement. This limitation does not preserve legal permission to use the Software after the license has ended.

11. Backup and archival copies

The Customer may retain reasonable backup copies of installers, entitlements, and purchase records solely to exercise licensed rights. Copying activation or entitlement data to another machine, profile, or virtual-machine image does not increase capacity and is prohibited where intended to bypass binding.

12. Restrictions

  • Do not copy, distribute, rent, lease, lend, sublicense, sell, host, or provide the Software as a service except as expressly permitted.
  • Do not bypass activation, capacity, trial, device-binding, local-verification, or security controls; suppress hardware collection to obtain an unauthorised result; or copy activation, installation-ID, entitlement, or profile data to another machine to evade purchased capacity.
  • Do not modify, translate, adapt, reverse engineer, decompile, or disassemble except to the limited extent mandatory law permits notwithstanding this restriction.
  • Do not remove proprietary notices or misrepresent ownership.
  • Do not use one license for unrelated legal entities unless the order expressly allows it.
  • Do not use the Software unlawfully or to infringe third-party rights.

13. Transfer

License transfer to another legal entity, resale, or assignment is prohibited unless Kelavon gives written consent or mandatory law provides otherwise. Replacing a device is not a transfer of the contract, but a genuinely new device ordinarily requires an available permanent seat.

14. Customer Data ownership

As between the parties, the Customer retains its rights in Customer Data. Kelavon receives no ownership of local Excel files and ordinarily has no access to them.

15. Customer Data responsibility

The Customer is solely responsible for legality, quality, accuracy, backup, retention, security, access control, and recovery of Customer Data. The Customer must test backups and maintain appropriate business-continuity procedures.

16. Regulated use and validation

The Customer must determine whether the Software is suitable for its regulated process and complete any required risk assessment, validation, configuration control, SOP, training, audit trail, review, approval, and record-retention activities. The standard license does not include regulatory certification or validation services.

17. Excel and third-party dependencies

The Software may depend on supported versions of Windows, Microsoft Excel, or other components. Those products are independently licensed. Compatibility requirements may change through external vendor updates.

18. Maintenance Updates

Kelavon may provide Maintenance Updates for the licensed Major Version at its discretion. Any update that is released for that Major Version is included, but Kelavon does not commit to release updates, maintain a release schedule, or correct a particular defect. The Customer is responsible for testing and installing updates appropriately.

19. Future Major Versions

A future Major Version is a separate product or paid upgrade unless the offer at the time expressly says otherwise. Declining an upgrade does not terminate the licensed right to continue using the purchased Major Version, subject to compatibility and this EULA.

20. Support

Standard email support is governed by the Support Policy. It does not include an SLA, phone/chat support, custom work, guaranteed diagnosis or correction, or future Major Versions. Updates are available only if and when released.

21. Trial license

A trial is a limited, non-transferable evaluation license for seven days or the period shown in the App. It may be device- or installation-gated and may process technical binding data disclosed in the Privacy Policy. It may not be reset or circumvented.

22. Open-source and third-party notices

Components may be governed by separate open-source or third-party terms. Those terms control for those components where required. Kelavon will provide notices and source-code offers when legally required.

23. Intellectual property

Kelavon and its licensors retain all rights in the Software, source code, design, Documentation, branding, and derivatives. The license grants use rights only.

24. Feedback

The Customer may provide feedback voluntarily. Kelavon may use it to develop and improve products without payment or obligation, while respecting confidentiality obligations separately agreed.

25. Security

Device binding is intended to resist casual license sharing, not provide tamper-proof enforcement. Three-component anchors normally verify when at least two original components match; two-component anchors require both; one-component anchors require the single component and are low-confidence. An installation-ID fallback may be used when no hardware component is available. Full VM/profile cloning, disk-image duplication, local-state manipulation, or executable patching may defeat offline controls. The Customer remains responsible for endpoint, file, network, access, and organisational security.

26. Refund, reversal, and invalid payment

After a full refund, chargeback, fraud reversal, or invalidated transaction, new activations may be blocked. Existing offline activations cannot ordinarily be remotely revoked. Nevertheless, the legal license may terminate and continued use may be unauthorised.

27. Termination for breach

The license terminates if the Customer materially breaches this EULA and fails to cure where cure is required or reasonably possible. On termination, the Customer must cease use and uninstall all copies. Technical inability to remotely disable the App does not preserve legal permission.

28. Effect of termination

Clauses concerning ownership, restrictions, Customer Data responsibility, confidentiality, disclaimers, liability, and disputes survive as appropriate. Termination does not erase Customer-controlled files.

29. Limited warranty

Subject to mandatory law and the Refund Policy, Kelavon warrants that, at initial delivery, the Software will materially conform to its published product description. This limited delivery-conformance warranty does not promise error-free or uninterrupted operation, compatibility with every environment, suitability for a particular regulated purpose, or release of any update or defect correction. 30. Disclaimer of additional warranties

To the maximum extent permitted by law, no implied warranty beyond mandatory law and express commitments is given, including fitness for a particular regulated purpose, non-infringement based on Customer combinations, or uninterrupted/error-free operation.

31. Liability limitation

32. Export controls and sanctions

The Customer must not export, re-export, provide, or use the Software in violation of applicable sanctions, export-control, or trade laws. [COUNSEL TO CONFIRM APPLICABILITY AND WORDING.]

33. Government use

If sold to a government body, additional procurement terms apply only if expressly accepted in writing. The standard EULA does not waive Kelavon's intellectual-property rights.

34. Governing law and disputes

35. Entire agreement and severability

This EULA, the order, applicable product description, and incorporated policies form the agreement concerning the Software. Invalid provisions are adjusted or severed to the minimum lawful extent.
